1. Acceptance of these terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the service

Oriens is a portfolio-tracking and reporting tool. It aggregates data from the brokerage and financial accounts you choose to connect and presents your holdings, transactions, balances, and performance in a dashboard. Analytics and reports are generated at your request. Oriens reads your account data on a read-only basis; it does not place trades or move money.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered on an invite-only basis and only where permitted by law.

4. Your account and credential responsibilities

• You are responsible for maintaining the confidentiality of your sign-in and for all activity under your account.
• You agree to provide accurate information and to use the Service only for lawful, personal, non-commercial purposes.
• You authorize Oriens to retrieve data for the accounts you connect, and you may disconnect any account at any time.

5. Third-party services

Account connections are provided through Plaid and SnapTrade, and your data originates from the third-party financial institutions you connect. By connecting an account, you authorize these providers to access and share your data with Oriens on your behalf, and you agree to their end-user terms — Plaid’s End User Privacy Policy and SnapTrade’s End User Terms and Conditions and Privacy Policy. We are not responsible for the availability, accuracy, or practices of these third parties or your financial institutions.

6. Not financial, investment, legal, or tax advice

The Service and all information it provides are for informational purposes only and do not constitute investment, financial, legal, or tax advice. Oriens is a tracking and reporting tool, not a registered investment adviser, broker-dealer, or tax professional, and nothing in the Service is a recommendation to buy, sell, or hold any security. You are solely responsible for your own financial decisions and should consult a qualified professional before acting.

7. No warranty on data accuracy

The Service is provided “as is” and “as available.” Data is sourced from third parties and may be delayed, incomplete, or inaccurate. We do not warrant the accuracy, timeliness, or completeness of any data or calculation, and you should verify important figures against your official brokerage statements. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

8. Limitation of liability

To the fullest extent permitted by law, Oriens and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or investment losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

9. Termination

You may stop using the Service and delete your account at any time (see our Privacy Policy). We may suspend or terminate access if you violate these Terms or to protect the Service or its users.

10. Governing law

These Terms are governed by the laws of the United States and, as applicable, the state in which Oriens is established, without regard to conflict-of-laws principles.

11. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
